WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND RALLY THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 16 (DISPUTE RESOLUTION) BELOW FOR DETAILS REGARDING ARBITRATION.
By using our Services, you agree to be bound by these Terms. If you don't agree to be bound by these Terms, do not use the Services. If you are accessing or using the Service on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will also refer to that entity.
Please review our Privacy Notice, which also governs your use of the Services, to understand our practices.
We may modify the Terms at any time, and such modification will be effective upon posting on our Site. You agree to be bound to any changes to these Terms when you use the Services after any such modification is posted. It is therefore important that you review these Terms regularly to ensure you are updated as to any changes.
You may use the Services only if you are 18 years or older and capable of forming a binding contract with Rally, and not otherwise barred from using the Services under applicable law.
By using our Services, you represent and warrant that you are not a resident, national, or agent of the United States of America, United Kingdom, Cuba, Iran, North Korea, Syria, Belarus, Russia, and the Crimea, Luhansk, Donetsk, Zaporizhzhia, and Kherson regions of Ukraine, or any other country or jurisdiction to which the United States embargoes goods or imposes similar sanctions.
The Services provide access to the Rally platform, which leverages GenLayer smart contracts on certain approved blockchain platforms, including without limitation, Base, Solana, and ZKsync Era, to create automated, rewards-based campaigns on social media platforms, including without limitation, X (Twitter).
Users can create campaigns on the Rally platform, participate in Campaigns through the Services, and earn rewards through such participation. The Services power the artificial intelligence-driven logic behind tweet scoring and impact analysis to help assess content quality and gather real-time engagement metrics.
You may participate in the Services by linking your digital wallet(s) on supported bridge extensions, which allows you to claim your rewards and engage in transactions using supported digital assets. Before claiming your rewards, we will ask you to download a supported electronic wallet extension and connect and unlock your digital wallets with that extension.
You may participate in the Services by linking your social media account to the Services, including but not limited to, your X (Twitter) account, which allows you to participate in the campaigns and earn rewards on the Rally platform. When you link your social media account to the Services, your digital wallet may also be linked to your social media account solely with respect to the Services.
You may earn certain rewards through your participation in campaigns. These rewards may be in the form of tokens on the applicable Blockchain Platform that the Campaign Owner funds and may also include Rally tokens and other benefits associated with Rally's governance. To receive any token rewards, you must first claim your rewards as set forth in the Services.
"Campaign Owner Points" means any points, credits, scores, badges, or other non-monetary units of recognition that are issued by a Campaign Owner and distributed to Campaign Participators through the Services, and that are not native digital assets on a Blockchain Platform funded into a smart contract rewards pool. Campaign Owner Points are distinct from Rally tokens and from Rewards as otherwise described in these Terms. Campaign Owner Points have no monetary value, are not redeemable by Rally, and are governed by the terms of the applicable Campaign Owner. Rally does not issue, control, custody, value, or guarantee any Campaign Owner Points.
If your Campaign distributes Campaign Owner Points, you represent, warrant, and covenant that: (i) Campaign Owner Points are not securities, investment contracts, money, currency, legal tender, or any other financial instrument, and you will not market, describe, distribute, or otherwise hold them out as such; (ii) Campaign Owner Points confer no equity, ownership, dividend, profit-sharing, governance, voting, redemption, or similar rights; (iii) you are solely responsible for defining, issuing, administering, modifying, suspending, and discontinuing Campaign Owner Points, and for any communications about them, including any help pages, FAQs, or in-product instructions visible to Campaign Participators; (iv) Rally is not the issuer, custodian, guarantor, or administrator of Campaign Owner Points and has no obligation to deliver, redeem, or honor them; (v) you will display, or permit Rally to display on your behalf, the Campaign Participator-facing disclaimer required by Rally on each Campaign page that distributes Campaign Owner Points; and (vi) you will comply with all applicable laws, rules, and regulations in connection with the offer and distribution of Campaign Owner Points in every jurisdiction where the Campaign is available.
Our Services may allow you and other users to create, post, store and share content, including messages, text, photos, videos, software and other materials. Anything that you create, post, store, or share on or through the Services is "User Content."
Rally respects copyright law and expects its users to do the same. Please review our Copyright Policy for information about how to report copyright infringement.
The Services may contain links to third party websites or services that are not owned or controlled by Rally. Rally has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services.
We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice to you. Upon any termination, discontinuation or cancellation of the Services or your account, the following provisions will survive: Sections 6, 7, 10, 11, 12, 13, 14, 15, 16, and 17.
THE SERVICES, THE RALLY TOKENS, ANY CONTENT CONTAINED THEREIN, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.
RALLY (AND ITS SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICES: (I) WILL MEET YOUR REQUIREMENTS; (II) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (III) WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE.
RALLY DOES NOT ISSUE, CONTROL, CUSTODY, VALUE, OR GUARANTEE ANY CAMPAIGN OWNER POINTS. RALLY MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, REGARDING THE NATURE, UTILITY, VALUE, REDEEMABILITY, PERSISTENCE, OR FUTURE TREATMENT OF ANY CAMPAIGN OWNER POINTS. CAMPAIGN OWNER POINTS ARE PROVIDED BY THE APPLICABLE CAMPAIGN OWNER ON AN "AS IS" BASIS AND ANY CLAIM RELATING TO CAMPAIGN OWNER POINTS IS SOLELY BETWEEN YOU AND THE CAMPAIGN OWNER. IN RALLY'S VIEW AND TO ITS KNOWLEDGE, CAMPAIGN OWNER POINTS DO NOT CONSTITUTE, AND ARE NOT INTENDED TO CONSTITUTE, A "SECURITY" OR "INVESTMENT CONTRACT" UNDER THE SECURITIES ACT OF 1933, AS AMENDED, THE SECURITIES LAWS OF ANY U.S. STATE, OR THE SECURITIES LAWS AND REGULATIONS OF ANY OTHER APPLICABLE JURISDICTION; HOWEVER, RALLY MAKES NO DETERMINATION AS TO THE REGULATORY STATUS OF ANY PARTICULAR CAMPAIGN OWNER POINTS, WHICH IS THE SOLE RESPONSIBILITY OF THE ISSUING CAMPAIGN OWNER.
You accept and acknowledge that there are risks associated with utilizing any cryptocurrency, blockchain technology or related services. You specifically acknowledge and assume the risk of loss associated with the Services.
You acknowledge that Campaign Owner Points, if any, are issued and controlled by the applicable Campaign Owner, may be modified, suspended, or discontinued at any time, have no monetary value, and may cease to exist or to be honored by the Campaign Owner. You assume all risk associated with earning, holding, or attempting to use Campaign Owner Points and have no recourse against Rally with respect to them.
You will indemnify and hold harmless Rally and its officers, directors, employees and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses arising out of or in any way connected with your use of the Services.
NEITHER RALLY NOR ITS SUPPLIERS WILL BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.
These Terms and any action related thereto will be governed by the laws of the Cayman Islands, without regard to its conflict of laws provisions.
You and Rally must first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms informally. Accordingly, neither you nor Rally may start a formal arbitration proceeding for at least sixty (60) days after one party notifies the other party of a claim in writing.
We each agree that any Dispute will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. Any Disputes shall be referred to and finally resolved by binding arbitration to be administered by the Cayman International Mediation and Arbitration Centre (CI-MAC) in accordance with the CI-MAC Arbitration Rules.
YOU AND RALLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
These Terms constitute the entire and exclusive understanding and agreement between Rally and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Rally and you regarding the Services.

You understand that your connection with Rally or the Campaign Owners might materially affect the weight or credibility consumers give to your statements. For this reason, you will not post, tag, review, or otherwise speak about or refer to Rally or the Campaign Owners, directly or indirectly, without disclosing such connection.
Your statements must reflect your honest and truthful opinions, findings, beliefs, or experiences with Rally's or the Campaign Owners' products or services. When representing that you use Rally's or the Campaign Owners' products or services, you must be a bona fide user of such products or services at the time the statement is given.
You agree that all social media postings and comments shall always be in good taste and free of inappropriate language and/or content. Content may be rejected by Rally if it contains material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous.
You agree that you will not purchase fake followers, bot farms, fake reviews or otherwise artificially increase influence in a deceptive manner or in violation of applicable laws, rules, or regulations. In a commercial setting, it is considered deceptive to use fake followers to provide social influence.
